Results of Operations and Financial Condition.

On July 29, 2024, Transcat, Inc. (the “Company”) issued a press release announcing its financial results for its fiscal year 2025 first quarter ended June 29, 2024. The press release is attached to this Form 8-K as Exhibit 99.1.

In addition, on July 30, 2024, the Company posted slides to the Investor Relations section of its website that will accompany the Company’s earnings conference call and webcast at 11:00 a.m. Eastern Time on July 30, 2024. The slides are attached to this Form 8-K as Exhibit 99.2.
