Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

As previously disclosed on a Current Report on Form 8-K dated as of May 22, 2023, on such date, Kaspien Holdings Inc. (the “Company”) notified The Nasdaq Stock Market LLC of the Company’s decision to voluntarily delist its common stock from The Nasdaq Capital Market. The delisting of the Company’s common stock from The Nasdaq Capital Market now is effective as of June 12, 2023. Also effective June 12, 2023, the Company’s common stock is being quoted on the OTCQB.
