Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 11, 2024, Tamara Linde notified Public Service Enterprise Group Incorporated (the Company) of her decision to retire as Executive Vice President and General Counsel of the Company. On September 16, in accordance with the Company’s succession plan, the Company appointed Grace Park to succeed Ms. Linde as Executive Vice President and General Counsel of the Company, effective September 16, 2024. In connection with her transition to retirement, Ms. Linde entered into an agreement with the Company pursuant to which she will serve as the Executive Vice President and Chief Legal Officer of the Company from September 16, 2024 to March 14, 2025. Under the terms of this new agreement, Ms. Linde will continue to receive the same compensation and benefits that she received as Executive Vice President and General Counsel of the Company.
