Other Events.

On May 12, 2025, Vaxart, Inc. (the “Company”) issued a press release that included frequently asked questions and applicable answers with respect to the proposed reverse stock split to be voted on at the Company’s upcoming 2025 Annual Meeting of Stockholders. The Company’s 2025 Annual Meeting will take place on Wednesday, May 21, 2025.

A copy of the press release is being filed as Exhibit 99.1 to this Current Report on Form 8-K.
