Changes in Registrant’s Certifying Accountant.

(a) Resignation of Marcum LLP as the Independent Registered Public Accounting Firm
Based on information provided by Marcum LLP (“Marcum”), the independent registered public accounting firm of AmBase Corporation (the “Company”), on November 1, 2024,
CBIZ CPAs P.C. (“CBIZ CPAs”) acquired the attest business of Marcum. On April 22, 2025, the Company was notified by Marcum that Marcum resigned as the Company’s independent registered public accounting firm.
The reports of Marcum on the Company’s financial statements for the fiscal years ended December 31, 2024 and 2023 included in the Company’s Annual Report on Form 10-K
for the year ended December 31, 2024, did not contain an adverse opinion or a disclaimer of opinion, nor was it qualified or modified as to uncertainty, audit scope or accounting principle, except that the reports included an explanatory paragraph
relating to substantial doubt about the Company’s ability to continue as a going concern.
During the fiscal years ended December 31, 2024 and 2023 and the subsequent interim period through April 22, 2025, the date of Marcum’s resignation, there were no (1)
disagreements (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) between the Company and Marcum on any matter of accounting principles or practices, financial statement disclosure or auditing scope or procedure that
would have caused Marcum to make reference to the subject matter of such a disagreement in connection with its audit reports on the Company’s financial statements for such years, or (2) reportable events (as described in Item 304(a)(1)(v) of
Regulation S-K and the related instructions).
The Company has provided Marcum with a copy of this Current Report on Form 8-K prior to its filing with the Securities and Exchange Commission (the “SEC”) and
requested, in accordance with applicable practices, that Marcum furnish a letter addressed to the SEC, pursuant to Item 304(a)(3) of Regulation S-K, stating whether Marcum agrees with the statements made herein. Attached as Exhibit 16.1 is a copy
of Marcum’s letter, dated April 22, 2025, stating that it agrees with such statements.
(b) Engagement of CBIZ CPAs as the New Independent Registered Public Accounting Firm
As a result of CBIZ CPAs acquisition of Marcum, Marcum declined reappointment as the Company’s Independent Registered Public Accounting Firm for fiscal
year 2025.
On April 22, 2025, with the approval of the Company’s Accounting and Audit Committee, CBIZ CPAs
was engaged as the Company’s new independent registered public accounting firm for the fiscal year ending December 31, 2025.
During the fiscal years ended December 31, 2024 and 2023 and the subsequent interim period through April 22, 2025, neither the Company nor anyone on its behalf
consulted with CBIZ CPAs regarding (1) the application of accounting principles to a specified transaction, completed or proposed, or the type of audit opinion that might be rendered on the Company’s consolidated financial statements, and neither a
written report nor oral advice was provided to the Company that CBIZ CPAs concluded was an important factor considered by the Company in reaching a decision as to any accounting, auditing or financial reporting issue, or (2) any matter that was
either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
