On December 3, 2024, Rubicon Technologies, Inc. (the “Company”) issued a press release (the “Press Release”) announcing, among other things, a refinancing of certain of the Company’s existing debt facilities with proceeds of a new revolving facility and a $20 million preferred equity raise. A copy of the Press Release is furnished herewith as Exhibit 99.1 and incorporated into this Item 7.01 by reference.
