Explanatory Note

This Current Report on Form 8-K/A supplements the Current Report on Form 8-K filed by Genesco Inc. (the “Company”) with the Securities and Exchange Commission on May 6, 2025 (the “Original Form 8-K”).

Item 4.01 Changes in Registrant’s Certifying Accountant.

As previously disclosed in the Original Form 8-K, the Company’s audit committee previously approved the appointment of Deloitte & Touche LLP (“Deloitte”), an independent registered public accounting firm, to serve as the Company’s independent registered public accounting firm for the fiscal year ending January 31, 2026. The Company’s engagement of Deloitte remained subject to the completion of Deloitte’s client acceptance procedures and execution of an engagement letter. On May 15, 2025, Deloitte confirmed that such client acceptance procedures were complete, and the Company formally engaged Deloitte as its independent registered public accounting firm.

No consultations occurred between the Company and Deloitte during the fiscal years ended February 1, 2025 and February 3, 2024 and the subsequent interim period through May 15, 2025 regarding either (i) the application of accounting principles to a specific completed or proposed transaction, the type of audit opinion that might be rendered on the Company’s financial statements, or other written or oral information provided that was an important factor considered by the Company in reaching a decision as to an accounting, auditing, or financial reporting issue or (ii) any matter that was either the subject of a disagreement, as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions to Item 304 of Regulation S-K, or a “reportable event,” as that term is defined in Item 304(a)(1)(v) of Regulation S-K.
