Item 2.02 Results of Operations and Financial Condition.

On May 15, 2025, Longevity Health Holdings, Inc., a Delaware corporation (the “Company”) issued a press release announcing, among other matters, certain unaudited preliminary financial results for the first quarter of 2025. A copy of such press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference. The unaudited financial information provided in such press release is based on preliminary results and information as of the date hereof and is subject to revision in connection with the Company’s financial closing procedures and finalization of the Company’s financial statements for the first quarter of 2025.
