Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On November 22, 2022 the Company received a notice (“Notice”) from the Listing Qualifications Department of The Nasdaq Stock Market (“Nasdaq”) stating that the Company was not in compliance with Nasdaq Listing Rule 5250(c)(1) because the Company failed to timely file its Quarterly Report on Form 10-Q for the period ended September 30, 2022 (the “Form 10-Q”) with the Securities and Exchange Commission (“SEC”). However, since the Company’s November 22, 2022 filing of the Form 10-Q, the Company has received notice from Nasdaq that it has regained compliance with the Nasdaq Listing Rule 5250(c)(1), and Nasdaq considers the matter closed.
On December 6, 2022, the Company issued a press release announcing the developments discussed herein. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
