Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 31, 2025, CXApp Inc. (the “Company”) issued a press release announcing the appointment of Terry Blanchard as Senior Vice President of Engineering. Mr. Blanchard, who will report directly to Chairman and Chief Executive Officer Khurram Sheikh, will be leading the Company’s global engineering organization and the development of next-generation AI technologies. With over 30 years of engineering leadership experience at companies including Apple, WhatsApp (Meta), Microsoft, and NVIDIA, Mr. Blanchard’s expertise in software architecture, AI, machine learning, cloud infrastructure, and product usability is expected to significantly advance the Company’s product roadmap and technical strategy.

Item 7.01 Regulation FD Disclosure.

 

On March 31, 2025, the Company issued a press release announcing that its Fourth Quarter 2024 and Annual 2024 Financial Results and Business Update Conference Call has been rescheduled to Thursday, April 3, 2025, at 1:00 p.m. Pacific Time. During the call, the Company will discuss its financial results for the fourth quarter of 2024 (ended December 31, 2024) and the full year 2024, as well as provide an update on the progress of its AI-native CXAI Platform. The call will be led by Chairman and Chief Executive Officer, Khurram Sheikh, and Chief Financial Officer, Joy Mbanugo, and will be accessible via telephone and webcast.
