ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

On February 19, 2025, Suzanne P. Nimocks notified the Board of Directors (the “Board”) of Ovintiv Inc. (the “Corporation”) that she will not stand for re-election as a director of the Corporation at the Corporation’s 2025 Annual Meeting of Shareholders. Ms. Nimocks’s decision was not based on any disagreement with the Corporation on any matter relating to the Corporation’s operations, policies or practices. The Board intends to fix the number of directors at eleven effective the end of her term. The Corporation thanks Ms. Nimocks for her service.
