On December 18, 2023, Alteryx, Inc. (“Alteryx”) and affiliates of investment funds managed by Clearlake Capital Group, L.P. and Insight Partners announced the execution of an Agreement and Plan of Merger dated December 18, 2023 between Azurite Intermediate Holdings, Inc., Azurite Merger Sub, Inc. and Alteryx. A copy of Alteryx’s press release announcing the transaction is attached as Exhibit 99.1 and incorporated by reference.
