Item 5.03.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On February 28, 2024, the board of directors (the “Board”) of Jingbo Technology, Inc., a Nevada corporation (the “Company”), in accordance with the Company’s bylaws, approved a change in the Company’s fiscal year end from May 31 to the last day of February, effective immediately for the current fiscal year, and for all subsequent years until such time as the Board resolves to amend such fiscal year end. The Company will file a transition report on Form 10-KT covering the transition period from June 1, 2023, to February 29, 2024.
