Resignation of Charles S. Theofilos, M.D. as a member of the Board of Directors

 

On February 24, 2025, Charles S. Theofilos, M.D., a member of the Board of Directors (the “Board”) of electroCore, Inc. (the “Company”), resigned as a Class III director of the Board, as a member of the Compensation Committee of the Board, and as a member of the Nominating and Governance Committee of the Board, in each case effective immediately.

 

Decrease in Size of the Board of Directors  

 

In connection with Dr. Theofilos’ resignation, on February 28, 2025, the Board decreased the size of the Board from eight to seven members, effective immediately.
