Item 7.01. Regulation FD Disclosure.

 

On December 2, 2024, Ready Capital Corporation (“Ready Capital”) announced that it entered into an Agreement and Plan of Merger, dated as of November 29, 2024 (the “Merger Agreement”), with United Development Funding IV, a Maryland real estate investment trust (“UDF IV”). Pursuant to, and subject to the terms and conditions set forth in, the Merger Agreement, Ready Capital will acquire UDF IV through UDF’s merger with and into a wholly owned subsidiary of Ready Capital (the “Merger”).

 

On December 2, 2024, Ready Capital issued a press release announcing the execution of the Merger Agreement. On the same day, Ready Capital made available an investor presentation in connection with the proposed Merger. A copy of the press release is attached as Exhibit 99.1 and a copy of the investor presentation is attached as Exhibit 99.2 to this Current Report on Form 8-K and are incorporated herein by reference.
