Item 1.01 Entry into a Material Definitive Agreement

 

Verde Bio Holdings, Inc. (the “Company”) entered into an Agreement with  (“Settlement Agreement”) with Scott Cox (“Cox”) whereby the Company agreed to convey, transfer and assign certain real property owned by the Company and located in Jackson County, Texas (the “Property”) to Cox in exchange for the forgiveness and cancellation of a loan extended by Cox to the Company in the amount of $525,000 (“Loan”).  The Settlement Agreement provides for the full release of the Company by Cox for all liabilities and obligations under the Loan and the transfer of the Property to Cox via quit claim deed.  The date of the Agreement is December 19, 2023.

 

A form of the Settlement Agreement is filed as Exhibit 10.1 to this Current Report on Form 8-K.
