Item 8.01 Other Events.
On February 13, 2023, Cyberloq Technologies Inc., a Nevada corporation (“Cyberloq” or the “Company”) executed a non-binding letter of intent with Paneleven Limited, a United Kingdom limited company (“Paneleven”) with respect to a potential transaction which, if consummated, would result in combining Paneleven’s platform with the Cyberloq security suite. The parties are now in an exclusive negotiation period for the next thirty days. This potential transaction is in its preliminary stages and is subject to, among other things, continuing due diligence of the parties, as well as the negotiation and execution of a definitive agreement. There can be no assurances that the parties will enter into a definitive agreement or that, even if such an agreement is entered into, that the transaction will be consummated.
