Item 1.02 Termination of a Material Definitive Agreement.

On October 18, 2022 the Company announced the removal of Amergy Solar, Inc. and the naming of Metropolitan Electric of New York, Inc. to complete the All Saints Cemetery Solar Canopy Project. Metropolitan will interface with Con Edison on bringing the project online. The change has already secured the Work Permit from the NYC Department of Buildings, which will accelerate the buildout. Also, through Metropolitan’s negotiations, several costs have been reduced from previous estimates improving the viability of the installation.

Additionally the Company has entered discussions to utilize Metropolitan with commercial solar installations the Company has in progress
