Item 1.01 Entry into a Material Definitive Agreement.

The information set forth under Item 5.02 of this Current Report on Form 8-K is incorporated herein by reference.

Item 2.02 Results of Operations and Financial Condition.

On March 6, 2025, Marchex, Inc. (“Marchex” or the "Company") is issuing a press release and holding a conference call regarding its financial results for the fourth quarter and full year ended December 31, 2024 (the “Press Release”). The full text of the Press Release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

The information in this Item 2.02 (including Exhibit 99.1) is being furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that section. Such information shall not be incorporated by reference into any registration statement or other document pursuant to the Securities Act of 1933 or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.

Marchex is referencing non-generally accepted accounting principles ("GAAP") financial information in both the Press Release and on the conference call. A reconciliation of these non-GAAP financial measures to the comparable GAAP financial measures is contained in the attached Press Release. Disclosures regarding definitions of these financial measures used by Marchex and why Marchex’s management believes these financial measures provide useful information to investors is also included in the Press Release.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements for Certain Officers.

On March 6, 2025, Marchex announces that Brian Nagle (“Nagle”), SVP, Corporate Controller of Marchex, had been appointed Principal Financial Officer and Principal Accounting Officer of the Company. Nagle, age 39, joined Marchex in August, 2024; previously served as Vice President of Financial Reporting of Seekr Technologies from 2022 to 2024; Director, SEC Reporting and Technical Accounting of Emergent BioSolutions from 2021 to 2022 and previously as Senior Manager of SEC Reporting and Technical Accounting from 2019 to 2021; and held several positions at KPMG, LLP from 2008 to 2019, most recently as Senior Manager, Audit. Mr. Nagle is a Certified Public Accountant.

In connection with his appointment, Marchex has entered into its standard form indemnity agreement for Marchex’s Section 16 executive officers and directors with Nagle. There is no family relationship between Nagle and any other executive officer or director of Marchex and there is no arrangement or understanding between Nagle and any other person pursuant to which he was appointed Principal Financial Officer and Principal Accounting officer of Marchex. There are no transactions in which Nagle has an interest requiring disclosure under Item 404(a) of Regulation S-K and there were no compensation changes in connection with this appointment.
