Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 17, 2025, Markel Group Inc. (the Company) announced a transition in the leadership of the Company’s insurance underwriting operations. The transition includes the following:
On March 14, 2025, Jeremy A. Noble, President, Insurance, and the Company mutually agreed on a departure date of April 13, 2025. Mr. Noble ceased to serve as President, Insurance, effective March 14, 2025, and his separation from the Company gave rise to the severance entitlements under his previously disclosed employment agreement; and

Effective March 17, 2025, Simon Wilson, currently President, Markel International, has been appointed Chief Executive Officer over the Company’s global specialty insurance and reinsurance underwriting operations, which will collectively be referred to as Markel Insurance.
