Item 7.01 | Regulation FD Disclosure. |
Identiv, Inc. (“Identiv” or the “Company”) has initiated multiple legal proceedings in Europe in response to business practices of Tageos SAS (“Tageos”) that it alleges to be anti-competitive, including the misappropriation of trade secrets and confidential information about Identiv.
In February 2024, Identiv discovered that Tageos had in its possession information that Identiv alleges to be unauthorized confidential information and trade secrets of Identiv. Following this discovery, Identiv took action, pursuing legal relief intended to protect the Company’s business, and safeguard its confidential information. A hearing at the regional court in Munich, Germany is currently scheduled for mid-May 2024.
The information set forth in this Item 7.01 of this Current Report on Form 8-K is intended to be furnished and shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liability of that section, and shall not be incorporated by reference in any filing under the Securities Act of 1933, as amended, or the Exchange Act, except as shall be expressly set forth be specific reference in such a filing.

Any statement that is not a historical fact, including statements regarding Identiv’s expectations regarding the nature, timing, potential benefits and outcome of legal proceedings against Tageos, is a forward-looking statement. Forward-looking statements are subject to risks and uncertainties, many of which are outside Identiv’s control, which could cause actual results to differ materially and adversely from those expressed in any forward-looking statements. Factors that could cause actual results to differ materially from those in the forward-looking statements include, but are not limited to, Identiv’s ability to successfully litigate its allegations, the possibility of other legal proceedings and investigations arising out of Identiv’s allegations and any adverse findings, developments or outcomes with respect to such proceedings and investigations, and factors discussed in its periodic reports, including its Annual Report on Form 10-K for the year ended December 31, 2023 and subsequent reports filed with the U.S. Securities and Exchange Commission.
